We are ecstatic to have you visiting www.mealprepmenus.com (“Site”), owned and operated by Simone McKenna Fitness, LLC (“SMF”). It is our mission to provide you with simple, healthy recipes for every table and dietary preferences. These Terms of Conditions (“Terms”) are important and affect your legal rights, so please read them carefully.

We provide these Terms to explain how the Site can be used by you, along with other important information when using the Meal Prep Menu Membership found at www.mealprepmenus.com. The Terms may be updated by us from time to time without notice to you. By accessing and using the Site, you acknowledge that you have read, understood and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to any of these Terms, then please do not use the Site.

REGISTRATION

To browse and access customizable weekly menus and grocery lists you must become a “Registered User.” For purposes of this Agreement, a Registered User is a user who has registered an account on the Site (“Account). Visitors are those who visit the Site, but do not register and/or provide us with the request for more information. No login or personal information is required from our Visitors, who can view all publicly available Site content.

We are is under no obligation to accept any individual as a Registered User and may accept or reject any registration in its sole and complete discretion. In addition, the we may deactivate any account at any time, including, without limitation, if it determines that a Registered User has violated these Terms of Use, or the Terms of Use for any particular service, product or program

Registration Data

Should you choose to become a Registered User, you agree to the following:

• To provide us with accurate, complete, and up-to-date information, updating your information as necessary;

• You agree not to create an Account using a false identify or information, or on behalf of someone other than yourself;

• Maintain the security of your password and accept the risks associated with accessing your account, which may not be you;

• Notify us at Hello@mealprepmenus.com if you believe there to have been any breaches to the security of the Site or your information;

• You are at least 18 years of age;

• You are responsible for all selections, preferences and activities that are under your Account;

• You acknowledge and agree that you have no ownership or property interest in your account;

• You acknowledge you will not share or republish any content found within the Site;

• You acknowledge you will not use the Site in any manner that could disable, overburden, damage or impair the Site or interfere with another Registered User’s use of the Site;

• You acknowledge that the Site will utilize your ratings and feedback for marketing purposes.

Subscription Services/Billing 

Meal Prep Membership is an automatic subscription service (“Service”). As part of the Service, we offer various subscription options that you may select from(“Plan”). You may pause, modify or deactivate your Plan at any time and will have access to the Site for as long as the Plan you have selected and paid for. You may pause, modify or deactivate your Plan within the Site or by notifying us at Hello@mealprepmenus.com.  We reserve the right to adjust billing prices at our sole discretion, but will inform you of those changes in advance.

BY ENTERING INTO THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOUR CREDIT/DEBIT CARD WILL BE CHARGED ON A REOCCURING BASIS PURSUANT TO YOUR PLAN SELECTION. YOU ARE RESPONBILE FOR ALL CHARGES PRIOR TO DEACTIVATION.

Disclaimers

This site is not intended for any user under the age of 13, and we do not knowingly collect personal information from children under the age of 13. We request that children under the age of 13 not submit any personal information through the site.

This Site is not a substitute for professional nutritional advice or weight loss treatment. We make no representations or warranties and expressly disclaim any and all liability concerning weight loss, outcome, or action.

This Site and information associated with it such as photos, logo, blog and social media platform (collectively “Site”) and any content found therein is owned and operated by Simone McKenna Fitness, LLC (“SMF”)

Digital Millennium Copyright Act

In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable laws, we may at our sole discretion limit access to this Site or our products/services if you infringe any intellectual property rights.

Content Linked to the Site & External Sites

While we have carefully chosen our vendors, especially those involved in the transmission of data and sensitive personal information like credit card information.  You assume all of the risk, responsibilities and consequences resulting from your use of or access to third-party websites. You further agree that we are not responsible for the availability of any external sites or resources. While we may endorse, sponsor, share, tag or link third party information we do not guarantee or warrant the sufficiency of that content. Please ensure to read third party Terms of Service and Privacy Notice as they may be different than the ones you are reading here.

Limitation of Liability 

You agree that your access to and use of the Site along with the content herein is at your own risk. The content on this Site is provided “AS IS.” We hereby disclaim all warranties, express or implied including, but not limited to, special incidental damages, negligence, compensatory damages, failure of performance, security, warranties of merchantability, computer virus or technical infiltration, personal injury or death, condition or completeness, exemplary or consequential damages, losses of expenses, failure of performance of this site and/or connected social media platforms.  You have carefully read all disclaimers and the limitation of liability section and fully understand it is a release of liability.

Indemnification

You agree to fully indemnify, defend and hold us (including our agents, representatives, and assigns, collectively the “Indemnified Parties”) harmless from and against any and all claims, liability, damages, losses, costs and expenses, including legal fees and expenses, suffered by us and arising out of any breach of the conditions by you or any other liabilities arising out of your use of the Site, Products, or Services.

Compliance with Applicable Laws

The Site is based in the United States. We make no claims concerning whether the Site content may be downloaded, viewed, or be appropriate for use outside of the United States. If you access the Site from outside of the United States, you do so at your own risk.

Force Majeure

We will not be liable or responsible for any failure to perform which are caused by events outside our reasonable control (“Force Majeure Event”). A Force Majeure Event includes the following:

• Strikes, lock-outs, or other industrial action

• War

• Fire, explosions, storms, flood, earthquake, epidemic, or other natural disaster

• The acts, decrees, legislation, regulations, or restrictions of any government

• Impossibility of the use of public or private telecommunication networks

Our performance under this Agreement is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use reasonable efforts to bring the Force Majeure Event to a close or find a solution by which our obligations under this Agreement may be performed.

Termination of the Agreement

We reserve the right, in our sole discretion, to restrict, suspend, or terminate this Agreement and your access to all or any part of the Site, at any time and for any reason without prior notice or liability. We reserve the right to change, suspend, or discontinue all or any part of the Site at any time without prior notice or liability.

Entire Agreement

The Terms and Conditions represent the entire agreement between you and SMF with respect to this Site and it supersedes all prior contemporaneous communications and proposals whether electronic, oral or written between you and SFM related to Meal Prep Parties.

Controlling Law & Binding Arbitration 

This Agreement and any action related thereto will be governed by the laws of the State of Ohio. In the event of a dispute arising under or relating to this Site and associated products, services, and information herein (each, a “Dispute”), either party may elect to finally and exclusively resolve the dispute by binding arbitration governed by the Federal Arbitration Act (“FAA”).  All disputes will be resolved before a neutral arbitrator selected jointly by the parties, whose decision will be final, except for a limited right of appeal under the FAA.
